Certified Member Agreement

This Certified Member Agreement (the "Agreement") is entered into between Felted Whale LLC, an Oklahoma limited liability company doing business as RedRightBuyer.com ("RedRightBuyer," "we," or "us"), and the business or individual identified during the sign-up process ("Member" or "you"). By completing the sign-up form, accepting this Agreement, and checking the agreement checkbox, you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement. Your electronic acceptance constitutes a valid electronic signature under the Oklahoma Uniform Electronic Transactions Act (12A O.S. Section 15-101 et seq.) and the federal Electronic Signatures in Global and National Commerce Act (15 U.S.C. Section 7001 et seq.). If you accept this Agreement on behalf of a business, you represent that you are authorized to bind that business.

1. The RedRightBuyer Platform

RedRightBuyer.com is an online business compass and directory that rates and lists companies based on their public political expressions, public policy positions, corporate political contributions, and brand alignment with politically associated values, on a defined spectrum ranging from liberal to conservative. The platform is designed to help consumers find and support businesses whose public political and policy posture aligns with their own. In this Agreement, the "Platform" means the RedRightBuyer.com website, the RedRightBuyer mobile applications, and any other service we operate under the RedRightBuyer name.

Membership in RedRightBuyer is a listing and directory service. It is not an endorsement, certification of political affiliation, or guarantee of any particular business outcome. RedRightBuyer does not represent or warrant that membership will result in increased revenue, customer traffic, or any other business benefit.

1.1 Approval and Right to Decline

Every membership application and every listing is subject to review and approval by RedRightBuyer. RedRightBuyer may decline any application, and may remove any listing at any time, in its sole discretion, including for reasons not listed in this Agreement. Without limiting that discretion, RedRightBuyer does not list businesses that include, among others:

  • (a) adult-themed or sexually oriented businesses, products, or services;

  • (b) businesses that sell or promote hemp, CBD, THC, marijuana, or other cannabis-derived products;

  • (c) businesses that operate unlawfully or promote unlawful activity; and

  • (d) businesses that promote violence, harassment, or hatred toward any person or group.

This list is illustrative and not exhaustive. If RedRightBuyer declines an application after a membership fee has been paid, RedRightBuyer will refund the fee paid for that application. Removal of an approved listing is governed by Section 6, and any refund on removal by Section 5.1.

1.2 Certified Member

"Certified Member" means any Member whose membership application has been approved, on any tier, including National and Church & Charity, unless a provision of this Agreement says otherwise. Every Certified Member receives the Certified Member badge and the logo license in Section 4.3 while the membership is active.

2. Membership Tiers and Benefits

RedRightBuyer offers membership tiers as described on the RedRightBuyer.com pricing page at the time of sign-up. Benefits may be updated from time to time. Any material change to tier benefits affecting active Members will be communicated by email to the Member's primary account email address at least 30 days before the change takes effect.

Current tiers include:

Certified Member. Directory listing in one market and one category, Certified Member badge, RRB logo authorization, up to 5 photos per location, and the ability to create your company badge and profile page.

Featured. All Certified Member benefits plus enhanced visibility, bolder listing of your company name, listing in up to 2 markets and up to 2 categories, up to 15 photos per location, and a FAQ section on your profile page.

Regional. All Featured benefits plus logo display in member listings, listing in up to 3 markets and up to 3 categories, and up to 25 photos per location.

National. For businesses that serve customers nationwide or operate primarily online. National members are listed on the National & Online directory page rather than in local market searches, with logo display in member listings, listing in up to 3 categories, and up to 25 photos per location. At sign-up, National members identify as a National Brand, an Online Business, or both. Additional local markets are not available on the National tier.

Church & Charity. A free listing for eligible organizations, described in Section 2.2.

Additional Markets. Certified Member, Featured, and Regional Members may add markets beyond their tier's included markets for the additional fee per market listed on the pricing page at the time of purchase (currently $100 per market). Additional markets are not available on the National or Church & Charity tiers.

Multi-Location Memberships. Members with multiple physical business locations may list each location as a separate profile under a single membership, subject to the location limits of their tier. Each location operates under the same membership account and is bound by this Agreement. Inaccurate or outdated information at any location is a violation of Section 4.1 as to the membership as a whole.

RedRightBuyer reserves the right to modify, rename, or restructure membership tiers at any time, subject to the 30-day notice standard above for changes affecting active Members.

2.1 Promotional Pricing

RedRightBuyer may offer promotional pricing, free membership periods, free-for-life memberships, or discounted tier access from time to time as part of marketing campaigns or launch events. Each promotional offer is subject to the terms posted or communicated at the time of the offer ("Promotional Terms"). The Promotional Terms for an offer control how long the promotional price lasts and what happens when it ends. Where an offer's Promotional Terms state that a subscription continues at standard pricing after the promotional period, the subscription continues at the then-current standard price unless the Member cancels before that date. Where an offer is described as free for life, the promotional price applies for as long as the membership remains active, in good standing, and on the tier for which the offer was granted, subject to Section 2.3.

Membership tier and pricing, whether full price, discounted, or free, does not influence any RedRightBuyer ranking or scoring metric. Every Member chooses its own political lean under Section 3, regardless of tier or price. Promotional offers have no cash value and are not transferable.

2.2 Church & Charity Memberships

The Church & Charity tier is a free listing for churches, ministries, and charitable organizations recognized as tax exempt under Section 501(c)(3) of the Internal Revenue Code. It includes a listing in one market and one category, up to 5 photos, and a profile page. Additional markets are not available on this tier.

Church & Charity applicants must provide the organization's 9 digit Employer Identification Number (EIN) within 7 days of sign-up. RedRightBuyer uses the EIN to confirm eligibility, which may include checking public IRS records. A Church & Charity listing does not go live until eligibility is confirmed. If the EIN is not provided within 7 days, or RedRightBuyer cannot confirm eligibility, RedRightBuyer may decline the application. If RedRightBuyer later determines that a Church & Charity Member is not an eligible organization, RedRightBuyer may remove the listing or offer the Member a paid tier.

2.3 Tier Changes

To upgrade or downgrade your tier, contact RedRightBuyer at the email address in Section 17. Before a tier change takes effect, RedRightBuyer will confirm to you in writing the price of the new tier, including whether any promotional pricing on your current tier carries over. A tier change takes effect when RedRightBuyer confirms it and, where applicable, you complete any required payment.

3. Political Lean

Each Member chooses the political lean shown on its listing, on a spectrum from Liberal to Conservative, at sign-up and may change it at any time from the member dashboard. RedRightBuyer does not assign, rate, or change a Member's lean, and RedRightBuyer does not write editorial profiles for Members. The lean shown on a Member listing is the Member's own self-identification. It is not a rating by RedRightBuyer and is not an endorsement by RedRightBuyer.

4. Member Responsibilities

4.1 Accurate Information

All information you provide during sign-up and throughout your membership must be accurate and truthful to the best of your knowledge. You agree to notify RedRightBuyer promptly if any information in your listing becomes inaccurate or outdated. For Members with multiple locations, this obligation applies to information for each location.

4.2 Community and Testimonial Integrity

You agree that you will not:

  • (a) Post, solicit, purchase, incentivize, or manufacture fake or misleading comments, votes, thumbs, lean ratings, or testimonials;

  • (b) Ask employees, family members, or associates to post comments or votes they know to be false or misleading, or to post them without disclosing their connection to your business;

  • (c) Submit testimonials that were not given by a real customer, that misstate the customer's experience, or that you do not have the customer's permission to publish;

  • (d) Attempt to manipulate any RedRightBuyer rating, count, or scoring metric through any means other than genuine customer and community activity; or

  • (e) Retaliate against, harass, or threaten anyone who posts a negative comment or report about your business.

You are responsible for complying with the Federal Trade Commission's rule on consumer reviews and testimonials (16 CFR Part 465) and similar laws for any testimonial or endorsement you submit. Violation of this section is grounds for immediate removal from the Platform without refund.

4.3 RRB Logo Usage

As a Certified Member you are granted a limited, non-exclusive, non-transferable license to display the official RedRightBuyer Certified Member logo across reasonable business marketing surfaces, including but not limited to your website, email signature, social media profiles, printed marketing materials, storefront signage and window decals, vehicle wraps, and email newsletters. The logo must link directly to or otherwise reference your RedRightBuyer profile page when used in a digital context and may not be altered, distorted, recolored, or used in any manner that misrepresents your membership status or implies endorsement by RedRightBuyer of any product, service, or political position. Except for this limited license, RedRightBuyer retains all right, title, and interest in the Platform, the RedRightBuyer name, logos, and badges, and its ratings, classifications, and research.

Logo usage rights continue through any applicable grace period but are revoked upon cancellation, non-payment beyond the grace period, suspension, or termination of membership. Upon revocation or termination, you must immediately remove all digital displays of the logo (including from your website, email signature, social media profiles, and digital newsletters) and you must, within fourteen (14) calendar days, permanently remove or cover all physical displays of the logo, including storefront signage, window decals, vehicle wraps, and printed marketing collateral in active use. Failure to comply with the post-termination removal obligations of this Section is a material breach of this Agreement, may constitute trademark infringement, and authorizes RedRightBuyer to seek injunctive relief in court as set forth in Section 11.

4.4 Conduct

You agree not to use your RedRightBuyer membership in connection with any unlawful activity, to misrepresent your business, or to engage in conduct that RedRightBuyer determines is harmful to the Platform, its users, or its reputation.

4.5 Account Security and Communications

You are responsible for keeping your login credentials, access codes, and PINs confidential and for all activity under your member account. Notify us promptly at Admin@RedRightBuyer.com if you believe your account has been accessed without permission. By providing a phone number and email address, you agree that RedRightBuyer may send you account verification codes by text message and service emails about your membership, listing, billing, and activity on your profile. Message and data rates may apply. You may opt out of optional notification emails in your account settings; service and billing messages cannot be turned off while your membership is active.

If the newsletter box is checked when you complete sign-up, you also agree to receive the RedRightBuyer monthly newsletter by email. The newsletter is optional and is not required for membership. You can unsubscribe at any time using the link in any newsletter, and unsubscribing does not affect your membership or your listing.

5. Payment Terms and Renewal

Membership fees are charged on a monthly or annual basis as selected during sign-up. Free memberships, including Church & Charity and free-for-life promotional memberships, are not charged unless the Member changes tiers under Section 2.3 or the applicable Promotional Terms provide otherwise.

Monthly memberships automatically renew at the then-current rate at the end of each monthly billing cycle unless cancelled before the renewal date.

Annual memberships are not automatically charged at renewal. Before the end of an annual term, RedRightBuyer will send renewal notices, which include the renewal invoice. To renew, the Member pays the renewal invoice or uses the renewal mechanism provided in their account dashboard. If the Member has not renewed by the end of the annual term, the membership enters the grace period described in Section 6.1.

If a monthly payment fails, RedRightBuyer will notify you and provide a 30-day grace period to resolve the payment as described in Section 6.1.

RedRightBuyer reserves the right to change its pricing at any time with at least 30 days email notice to active Members at the primary account email address. New pricing will apply at the next renewal date.

5.1 Refunds

Membership fees are non-refundable, except as stated in Section 1.1 and this Section. RedRightBuyer may, in its sole discretion, issue full or partial refunds in cases of billing error, material service failure, or other circumstances RedRightBuyer determines warrant a refund. The granting of a refund in one circumstance does not create any obligation to grant refunds in future circumstances. A Member who cancels a monthly or annual membership before the end of their paid term retains access for the remainder of the paid term but is not entitled to a prorated refund. A Member who initiates a chargeback or payment reversal with their card issuer or payment provider after receiving access to membership benefits may have their listing suspended pending resolution of the dispute.

If RedRightBuyer removes or permanently deactivates an approved listing for a reason other than the Member's breach of this Agreement, non-payment, or the Member's own request, RedRightBuyer will refund the unused portion of any prepaid membership fee, prorated by day from the date of removal. No refund is due when a listing is removed, suspended, or deleted under Section 4.2, Section 6.4, or Section 6.5(b) through (d).

6. Member Lifecycle: Grace Period, Deactivation, Reactivation, Suspension, Removal, and Permanent Deletion

For purposes of this Agreement, suspension, deactivation, cancellation, expiration of an unrenewed term, and termination each result in loss of active membership status and trigger the post-termination obligations identified in Section 4.3 and elsewhere.

6.1 Grace Period

For monthly memberships with a failed payment, your listing will remain visible on the Platform for 30 days from the date of the failed payment. During this grace period, your Certified Member badge and logo authorization remain active and you may resolve the payment to restore your membership.

For annual memberships that have not been renewed by the end of the annual paid term, your listing will remain visible on the Platform for 30 days following the term end date. During this grace period, your Certified Member badge and logo authorization remain active, and you may renew through the mechanism described in Section 5 to restore your full membership without interruption of service.

If the grace period ends without payment resolution or renewal, the listing may be deactivated as described in Section 6.2.

6.2 Deactivation

RedRightBuyer may deactivate a Member listing at any time, including following an unresolved grace period or at the Member's request. A deactivated listing is removed from public display on the Platform but is retained in our systems and may be reactivated by an administrator.

While deactivated:

  • (a) The Certified Member badge is removed from public display;

  • (b) The listing does not appear in search results or directory pages;

  • (c) Your account is marked as cancelled in our records;

  • (d) All listing data, contact information, and community activity are preserved; and

  • (e) Logo usage rights are revoked, and the post-termination removal obligations of Section 4.3 take effect.

6.3 Reactivation

A deactivated Member may be reactivated by an administrator. Reactivation restores the listing to active public display and restores Certified Member badge and logo authorization, subject to the Member resolving any outstanding payment or compliance issues that led to deactivation.

6.4 Suspension for Cause

RedRightBuyer may suspend a listing at any time if the Member is in violation of this Agreement. For manipulation of comments, votes, ratings, or testimonials, for fraud, or for conduct harmful to the Platform, suspension may be immediate without prior notice. A suspension functions similarly to a deactivation but is initiated for cause rather than for payment or member request reasons. The post-termination removal obligations of Section 4.3 take effect upon suspension.

6.5 Permanent Removal and Data Deletion

RedRightBuyer may permanently delete a Member's account, the Member's contact information, and the Member Content (as defined in Section 7) the Member submitted, including business profile details and social media URLs. Permanent deletion may occur:

  • (a) At the Member's express written request;

  • (b) Following material violation of this Agreement;

  • (c) Following confirmed manipulation of comments, votes, ratings, or testimonials, or other harmful conduct;

  • (d) Following discovery that information provided during sign-up was false or materially misleading; or

  • (e) Following extended periods of deactivation without reactivation, at administrator discretion.

Permanent deletion is irreversible. Comments and other content posted by Platform users about a deleted Member's business may remain visible on the Platform, as that content represents the speech of the user who posted it rather than the Member, and is not subject to deletion when the Member is removed. RedRightBuyer may continue to publish an editorial, non-member profile of the business based on public information.

Permanent deletion does not cover (a) information RedRightBuyer independently gathers or publishes from public sources, including an editorial profile of the business; (b) content posted by Platform users; or (c) records RedRightBuyer must keep for billing, tax, legal, dispute-resolution, or fraud-prevention purposes, which are retained as described in the Privacy Policy.

6.6 Member Cancellation

You may cancel your membership at any time by emailing Admin@RedRightBuyer.com or, for paid memberships, through the billing portal in your account dashboard. Cancellations of monthly memberships take effect at the end of the current billing period. Cancellations of annual memberships take effect at the end of the current paid annual term. Cancellation initiates a deactivation at the end of the applicable paid period. Permanent data deletion following cancellation may be requested separately in writing. Refunds for cancellation are governed by Section 5.1.

6.7 Appeal

If your listing is deactivated, suspended, removed, or permanently deleted, you may submit a written appeal to Admin@RedRightBuyer.com within 30 days. RedRightBuyer will review all appeals in good faith and retains final authority over all membership decisions. Once permanent deletion has been completed, restoration of deleted data may not be possible.

7. Community Activity and Profile Content

Platform users may post comments, replies, thumbs, votes, and reports on Member profiles. Counts and community activity displayed on the Platform reflect activity by Platform users. RedRightBuyer does not generate, alter, or manufacture that activity. Members may report comments through the Platform, and RedRightBuyer moderates comments under its Terms of Use but is not obligated to remove a comment because it is negative.

You retain ownership of any business descriptions, photos, logos, menus, testimonials, or other content you submit to the Platform ("Member Content"). By submitting Member Content, you grant RedRightBuyer a worldwide, royalty-free, non-exclusive license to host, display, reproduce, format, and distribute that content on the Platform, in share images and badges generated for your listing, and in promotion of your listing and the Platform, including on social media, for as long as your content remains on the Platform and for a reasonable period after it is removed. You represent that you own or have permission to use all Member Content you submit. RedRightBuyer may edit Member Content for formatting and may remove any Member Content that violates this Agreement or the Terms of Use.

8. Disclaimers and Limitation of Liability

REDRIGHTBUYER PROVIDES THE PLATFORM AND DIRECTORY SERVICES ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED. IN NO EVENT SHALL REDRIGHTBUYER BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE PLATFORM. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING UNDER THIS AGREEMENT SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU IN THE THREE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).

9. Indemnification

You agree to indemnify, defend, and hold harmless Felted Whale LLC, its officers, members, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your breach of this Agreement; (b) your violation of any law or third-party right in connection with your use of the Platform; (c) any claim that the business information, marketing materials, photos, descriptions, testimonials, trademarks, or other content you provided to RedRightBuyer is inaccurate, misleading, or infringes on a third party's rights; (d) your intentional manipulation of Platform comments, votes, ratings, or scoring metrics; or (e) claims arising from false advertising, deceptive statements, or defamatory content you provided to RedRightBuyer.

Your indemnification obligations under this Section apply only to claims arising from your relationship with the Platform and the content and information you supply to it. This Section does not extend to general business operations of the Member that are unconnected to your Platform listing.

10. Confidentiality and Privacy

RedRightBuyer will not sell your personal contact information to third parties. For full details on how we handle your data, please review our Privacy Policy, which is available on the RedRightBuyer.com website.

11. Governing Law and Dispute Resolution

This Agreement shall be governed by the laws of the State of Oklahoma. Any dispute arising out of or relating to this Agreement shall first be addressed through good faith negotiation. The party initiating a dispute must send a written Notice of Dispute by email to Admin@RedRightBuyer.com, identifying the nature of the dispute and the relief sought. The parties shall attempt to resolve the dispute through good faith negotiation for a period of thirty (30) days from the date the Notice of Dispute is received. If the dispute is not resolved within that period, the dispute shall be resolved through binding arbitration in Tulsa, Oklahoma, administered by the American Arbitration Association under its Commercial Arbitration Rules.

Notwithstanding the foregoing, either party may at any time, and without first completing the negotiation period above: (a) bring an individual action in small claims court for claims within the jurisdictional limit of that court; or (b) seek temporary, preliminary, or permanent injunctive or equitable relief in a court of competent jurisdiction to prevent trademark infringement, logo misuse, breach of confidentiality, or other irreparable harm. Small claims actions under clause (a) must be brought solely on an individual basis and may not be coordinated, consolidated, or serially filed in a manner intended to evade the arbitration or class action provisions of this Agreement. The pursuit of injunctive or equitable relief in court under clause (b) does not waive either party's right to arbitrate other claims arising out of the same dispute.

CLASS ACTION WAIVER: YOU AND REDRIGHTBUYER AGREE THAT ANY DISPUTE WILL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY. CLASS ACTIONS AND ANY OTHER FORM OF REPRESENTATIVE PROCEEDING ARE EXPRESSLY WAIVED.

12. Force Majeure

RedRightBuyer shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control.

13. No Waiver

Failure by RedRightBuyer to enforce any provision of this Agreement does not constitute a waiver of RedRightBuyer's right to enforce that provision in the future.

14. Survival

Sections 4.2, 4.3, 5.1, 6.5, 7, 8, 9, 10, 11, 13, 18, and 20 survive cancellation or termination of this Agreement.

15. Entire Agreement and Amendments

This Agreement, together with the Terms of Use, the Privacy Policy, and any Promotional Terms that apply to your membership, constitutes the entire agreement between you and RedRightBuyer with respect to your membership. If Promotional Terms conflict with this Agreement on the price or length of a promotional offer, the Promotional Terms control on that point; otherwise this Agreement controls. RedRightBuyer may update this Agreement from time to time by posting the updated Agreement with a new effective date and emailing active Members at their primary account email address. Material changes take effect 30 days after that email is sent. Continued use of your membership after an update takes effect constitutes acceptance of the updated Agreement.

16. Severability

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

18. Notices

RedRightBuyer will send notices under this Agreement to the primary account email address on file for your membership, and a notice is effective when sent. You are responsible for keeping that address current. You may send notices to RedRightBuyer at Admin@RedRightBuyer.com, and a notice to RedRightBuyer is effective when received.

19. Assignment

You may not assign or transfer your membership or this Agreement without RedRightBuyer's prior written consent. RedRightBuyer may assign this Agreement in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets, or to an affiliate.

20. Relationship of the Parties

You and RedRightBuyer are independent parties. Nothing in this Agreement creates a partnership, joint venture, agency, franchise, or employment relationship, and neither party may bind the other.
