Certified Member Agreement

This Certified Member Agreement (the "Agreement") is entered into between Felted Whale LLC, an Oklahoma limited liability company doing business as RedRightBuyer.com ("RedRightBuyer," "we," or "us"), and the business or individual identified during the sign-up process ("Member" or "you"). By completing the sign-up form and checking the agreement checkbox, you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement. Your electronic checkbox confirmation constitutes a valid electronic signature under the Oklahoma Uniform Electronic Transactions Act (15 O.S. Section 15-101 et seq.).

1. The RedRightBuyer Platform

RedRightBuyer.com is an online business compass and directory that rates and lists companies based on their public political expressions, public policy positions, corporate political contributions, and brand alignment with politically associated values, on a defined spectrum ranging from liberal to conservative. The platform is designed to help consumers find and support businesses whose public political and policy posture aligns with their own.

Membership in RedRightBuyer is a paid listing and directory service. It is not an endorsement, certification of political affiliation, or guarantee of any particular business outcome. RedRightBuyer does not represent or warrant that membership will result in increased revenue, customer traffic, or any other business benefit.

2. Membership Tiers and Benefits

RedRightBuyer offers membership tiers as described on the RedRightBuyer.com pricing page at the time of sign-up. Benefits may be updated from time to time. Any material change to tier benefits affecting active Members will be communicated by email to the Member's primary account email address at least 30 days before the change takes effect.

Current tiers include:

Certified Member. Basic directory listing in your market and category, Certified Member badge, RRB logo authorization, up to 5 photos per location on your profile, and the ability to create your company badge and profile page.

Featured. All Certified Member benefits plus enhanced visibility, bolder listing of your company name, listing in up to 2 categories, up to 15 photos per location, and a FAQ section on your profile page.

Regional. All Featured benefits plus logo display in member listings, listing in up to 3 categories, and listing in up to 3 markets. Additional markets beyond the first three are available for an additional fee per market as listed on the pricing page.

National. A future tier planned for release at a later date. National tier is referenced in this Agreement to provide notice that additional tiers may be added. National tier is not currently available for purchase. Specific National tier benefits, pricing, and availability will be communicated to existing Members in writing prior to launch.

Multi-Location Memberships. Members with multiple physical business locations may list each location as a separate profile under a single membership, subject to the location limits of their tier. Each location operates under the same membership account and is bound by this Agreement. Inaccurate or outdated information at any location is a violation of Section 4.1 as to the membership as a whole.

RedRightBuyer reserves the right to modify, rename, or restructure membership tiers at any time, subject to the 30-day notice standard above for changes affecting active Members.

2.1 Promotional Pricing

RedRightBuyer may offer promotional pricing, free membership periods, or discounted tier access from time to time as part of marketing campaigns or launch events. Promotional offers are subject to terms communicated at the time of the offer.

Membership tier and pricing, whether full price, discounted, or free, does not influence the political lean rating, editorial classification, ranking, or any other RedRightBuyer scoring metric for any Member. Members participating in promotional offers are subject to the same editorial review process as Members paying full price.

Promotional offers may carry a defined end date. At the end of a promotional period, the Member will receive notice and may elect to continue at the then-current standard pricing of their tier. Promotional memberships do not automatically convert to paid memberships at the end of the promotional period. Continuation requires the Member to take action to renew through the renewal mechanism provided by RedRightBuyer in their account dashboard or in renewal notices.

3. Political Lean Rating

As part of the listing process, each Member is assigned a political lean rating on a spectrum from Liberal to Conservative. This rating is determined by RedRightBuyer based on publicly available information, evidence gathered through our research process, and the Member's own self-identification during sign-up. The political lean rating is an informational classification based on publicly available signals and is not a statement of the Member's personal political beliefs or an endorsement by RedRightBuyer.

By agreeing to this Agreement, you acknowledge and agree that: RedRightBuyer retains sole and final discretion over the political lean rating assigned to your business listing; your lean rating may be updated over time as new information becomes available; you may submit a written request to dispute your lean rating by emailing Admin@RedRightBuyer.com with supporting evidence; RedRightBuyer will review disputes in good faith but is not obligated to change a rating.

4. Member Responsibilities

4.1 Accurate Information

All information you provide during sign-up and throughout your membership must be accurate and truthful to the best of your knowledge. You agree to notify RedRightBuyer promptly if any information in your listing becomes inaccurate or outdated. For Members with multiple locations, this obligation applies to information for each location.

4.2 Review Integrity

You agree that you will not:

• (a) Solicit, purchase, incentivize, or manufacture fake reviews;
• (b) Ask employees, family members, or associates to leave reviews they know to be false or misleading;
• (c) Attempt to manipulate your star rating or any RedRightBuyer scoring metric through any means other than genuine customer experience; or
• (d) Retaliate against customers who leave negative reviews.

Violation of this section is grounds for immediate removal from the Platform without refund.

4.3 RRB Logo Usage

As a Certified Member you are granted a limited, non-exclusive, non-transferable license to display the official RedRightBuyer Certified Member logo across reasonable business marketing surfaces, including but not limited to your website, email signature, social media profiles, printed marketing materials, storefront signage and window decals, vehicle wraps, and email newsletters. The logo must link directly to or otherwise reference your RedRightBuyer profile page when used in a digital context and may not be altered, distorted, recolored, or used in any manner that misrepresents your membership status or implies endorsement by RedRightBuyer of any product, service, or political position.

Logo usage rights continue through any applicable grace period but are revoked upon cancellation, non-payment beyond the grace period, suspension, or termination of membership. Upon revocation or termination, you must immediately remove all digital displays of the logo (including from your website, email signature, social media profiles, and digital newsletters) and you must, within fourteen (14) calendar days, permanently remove or cover all physical displays of the logo, including storefront signage, window decals, vehicle wraps, and printed marketing collateral in active use. Failure to comply with the post-termination removal obligations of this Section constitutes a trademark violation and authorizes RedRightBuyer to pursue injunctive relief in court as set forth in Section 11.

4.4 Conduct

You agree not to use your RedRightBuyer membership in connection with any unlawful activity, to misrepresent your business, or to engage in conduct that RedRightBuyer determines is harmful to the Platform, its users, or its reputation.

5. Payment Terms and Renewal

Membership fees are charged on a monthly or annual basis as selected during sign-up.

Monthly memberships automatically renew at the then-current rate at the end of each monthly billing cycle unless cancelled before the renewal date.

Annual memberships do not automatically renew. At the end of an annual paid term, a Member's subscription enters the grace period described in Section 6.1 unless the Member has taken action to renew. RedRightBuyer will send renewal reminders before the end of the annual term, including notices at approximately 30 days, 14 days, 7 days, and 1 day before the term ends. To renew, the Member must take action through the renewal mechanism provided by RedRightBuyer in their account dashboard or in renewal notices before the end of the grace period. Annual memberships purchased under a promotional offer with a defined end date are treated the same way as paid annual memberships for renewal purposes: they do not automatically renew, and continuation requires the Member to take action.

If a monthly payment fails, RedRightBuyer will notify you and provide a 30-day grace period to resolve the payment as described in Section 6.1.

RedRightBuyer reserves the right to change its pricing at any time with at least 30 days email notice to active Members at the primary account email address. New pricing will apply at the next renewal date.

5.1 Refunds

Membership fees are non-refundable. RedRightBuyer may, in its sole discretion, issue full or partial refunds in cases of billing error, material service failure, or other circumstances RedRightBuyer determines warrant a refund. The granting of a refund in one circumstance does not create any obligation to grant refunds in future circumstances. A Member who cancels a monthly or annual membership before the end of their paid term retains access for the remainder of the paid term but is not entitled to a prorated refund. A Member who initiates a chargeback or payment reversal with their card issuer or payment provider after receiving access to membership benefits may have their listing suspended pending resolution of the dispute.

6. Member Lifecycle: Grace Period, Deactivation, Reactivation, Suspension, Removal, and Permanent Deletion

For purposes of this Agreement, suspension, deactivation, cancellation, expiration of an unrenewed term, and termination each result in loss of active membership status and trigger the post-termination obligations identified in Section 4.3 and elsewhere.

6.1 Grace Period

For monthly memberships with a failed payment, your listing will remain visible on the Platform for 30 days from the date of the failed payment. During this grace period, your Certified Member badge and logo authorization remain active and you may resolve the payment to restore your membership.

For annual memberships that have not been renewed by the end of the annual paid term, your listing will remain visible on the Platform for 30 days following the term end date. During this grace period, your Certified Member badge and logo authorization remain active, and you may renew through the mechanism described in Section 5 to restore your full membership without interruption of service.

If the grace period ends without payment resolution or renewal, the listing is deactivated as described in Section 6.2.

6.2 Deactivation

RedRightBuyer may deactivate a Member listing at any time, including following an unresolved grace period or at the Member's request. A deactivated listing is removed from public display on the Website but is retained in our systems and may be reactivated by an administrator.

While deactivated:

• (a) The Certified Member badge is removed from public display;
• (b) The listing does not appear in search results or directory pages;
• (c) Your account is marked as cancelled in our records;
• (d) All listing data, contact information, and review history are preserved;
• (e) Logo usage rights are revoked, and the post-termination removal obligations of Section 4.3 take effect.

6.3 Reactivation

A deactivated Member may be reactivated by an administrator. Reactivation restores the listing to active public display and restores Certified Member badge and logo authorization, subject to the Member resolving any outstanding payment or compliance issues that led to deactivation.

6.4 Suspension for Cause

RedRightBuyer may suspend a listing at any time if the Member is in violation of this Agreement. For review manipulation, fraud, or conduct harmful to the Platform, suspension may be immediate without prior notice. A suspension functions similarly to a deactivation but is initiated for cause rather than for payment or member request reasons. The post-termination removal obligations of Section 4.3 take effect upon suspension.

6.5 Permanent Removal and Data Deletion

RedRightBuyer may permanently delete a Member's account and all associated personally identifying data, including contact information, business profile details, social media URLs, and account records. Permanent deletion may occur:

• (a) At the Member's express written request;
• (b) Following material violation of this Agreement;
• (c) Following confirmed review manipulation or harmful conduct;
• (d) Following discovery that information provided during sign-up was false or materially misleading; or
• (e) Following extended periods of deactivation without reactivation, at administrator discretion.

Permanent deletion is irreversible. Reviews submitted by visitors about a deleted Member's business may remain visible on the Website in an anonymized form, as those reviews represent the speech of the reviewer rather than the Member, and are not subject to deletion when the Member is removed.

6.6 Member Cancellation

You may cancel your membership at any time by emailing Admin@RedRightBuyer.com. Cancellations of monthly memberships take effect at the end of the current billing period. Cancellations of annual memberships take effect at the end of the current paid annual term. Cancellation initiates a deactivation at the end of the applicable paid period. Permanent data deletion following cancellation may be requested separately in writing. Refunds for cancellation are governed by Section 5.1.

6.7 Appeal

If your listing is deactivated, suspended, removed, or permanently deleted, you may submit a written appeal to Admin@RedRightBuyer.com within 30 days. RedRightBuyer will review all appeals in good faith and retains final authority over all membership decisions. Once permanent deletion has been completed, restoration of deleted data may not be possible.

7. Ratings, Reviews, and Profile Content

Your star rating and any other Member rating metric displayed on the Platform are calculated exclusively from verified visitor reviews submitted through the RedRightBuyer Platform. RedRightBuyer does not generate, alter, or manufacture ratings or review scores. You retain ownership of any business descriptions, photos, or other content you submit to the Platform. By submitting content, you grant RedRightBuyer a worldwide, royalty-free, non-exclusive license to display, reproduce, and distribute that content on the Platform.

8. Disclaimers and Limitation of Liability

REDRIGHTBUYER PROVIDES THE PLATFORM AND DIRECTORY SERVICES ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED. IN NO EVENT SHALL REDRIGHTBUYER BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE PLATFORM. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING UNDER THIS AGREEMENT SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE THREE MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify, defend, and hold harmless Felted Whale LLC, its officers, members, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your breach of this Agreement; (b) your violation of any law or third-party right in connection with your use of the Platform; (c) any claim that the business information, marketing materials, photos, descriptions, trademarks, or other content you provided to RedRightBuyer is inaccurate, misleading, or infringes on a third party's rights; (d) your intentional manipulation of Platform reviews or scoring metrics; or (e) claims arising from false advertising, deceptive statements, or defamatory content you provided to RedRightBuyer.

Your indemnification obligations under this Section apply only to claims arising from your relationship with the Platform and the content and information you supply to it. This Section does not extend to general business operations of the Member that are unconnected to your Platform listing.

10. Confidentiality and Privacy

RedRightBuyer will not sell your personal contact information to third parties. For full details on how we handle your data, please review our Privacy Policy, which is available on the RedRightBuyer.com website.

11. Governing Law and Dispute Resolution

This Agreement shall be governed by the laws of the State of Oklahoma. Any dispute arising out of or relating to this Agreement shall first be addressed through good faith negotiation. The party initiating a dispute must send a written Notice of Dispute by email to Admin@RedRightBuyer.com, identifying the nature of the dispute and the relief sought. The parties shall attempt to resolve the dispute through good faith negotiation for a period of thirty (30) days from the date the Notice of Dispute is received. If the dispute is not resolved within that period, the dispute shall be resolved through binding arbitration in Tulsa, Oklahoma, under the rules of the American Arbitration Association.

Notwithstanding the foregoing, either party may at any time, and without first completing the negotiation period above: (a) bring an individual action in small claims court for claims within the jurisdictional limit of that court; or (b) seek temporary, preliminary, or permanent injunctive or equitable relief in a court of competent jurisdiction to prevent trademark infringement, logo misuse, breach of confidentiality, or other irreparable harm. Small claims actions under clause (a) must be brought solely on an individual basis and may not be coordinated, consolidated, or serially filed in a manner intended to evade the arbitration or class action provisions of this Agreement. The pursuit of injunctive or equitable relief in court under clause (b) does not waive either party's right to arbitrate other claims arising out of the same dispute.

CLASS ACTION WAIVER: YOU AND REDRIGHTBUYER AGREE THAT ANY DISPUTE WILL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY. CLASS ACTIONS AND ANY OTHER FORM OF REPRESENTATIVE PROCEEDING ARE EXPRESSLY WAIVED.

12. Force Majeure

RedRightBuyer shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control.

13. No Waiver

Failure by RedRightBuyer to enforce any provision of this Agreement does not constitute a waiver of RedRightBuyer's right to enforce that provision in the future.

14. Survival

Sections 4.2, 4.3, 5.1, 6.5, 7, 8, 9, 10, 11, and 13 survive cancellation or termination of this Agreement.

15. Entire Agreement and Amendments

This Agreement constitutes the entire agreement between you and RedRightBuyer with respect to your membership. RedRightBuyer may update this Agreement from time to time. Continued use of your membership after notice of changes constitutes acceptance of the updated Agreement.

16. Severability

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
